Terms of Service

Please read these Terms of Service (“Terms”) carefully. They form a binding agreement between you and Um Family Labs, LLC (“we”, “us”, “our”). By creating an account or using du-game-maker (the “Service”), you agree to be bound by these Terms.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to both you and that organization.

1. Eligibility (Accounts Are for Adults)

The Service is designed for families, and accounts are for adults. You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. The Service is intended for parents and legal guardians; children may use it only under the direct supervision of an adult account holder, who remains responsible for all activity under the account.

We do not create accounts for children and do not knowingly collect personal information from children. If we learn that a child has created an account or that personal information of a child has been collected, we will remove it.

2. Your Account

You are responsible for keeping your account credentials confidential.
You are responsible for all activity that occurs under your account.
Notify us promptly at hello@du-game-maker.umfamily.org if you suspect any unauthorized use of your account.
You may have only one personal account, unless otherwise authorized.

3. Acceptable Use

Your use of the Service is governed by our Acceptable Use Policy. The AUP is incorporated into these Terms by reference. Violating the AUP is a breach of these Terms.

4. Subscriptions, Billing, and Cancellation

Some features of the Service require a paid subscription.

Plans and pricing: current plans and pricing are listed at https://du-game-maker.umfamily.org/pricing.
Billing: handled by Stripe, Inc. You authorize Um Family Labs, LLC and Stripe to charge your chosen payment method for the subscription fees and any applicable taxes on a recurring basis until you cancel.
Renewals: subscriptions auto-renew at the end of each billing period at the then-current price. You may cancel at any time via your account billing settings.
Cancellation: cancellation takes effect at the end of the current billing period. You retain access through the paid period.
Refunds: we do not provide refunds for partial billing periods except where required by law. We may issue refunds at our discretion.
Failed payments: if a payment fails, we may suspend access to paid features until payment is resolved. We will notify you and provide a reasonable period to update payment information before taking that action.
Price changes: we may change subscription prices. We will notify you by email at least 30 days before any price change affecting your subscription, and you may cancel before the change takes effect.
Taxes: subscription fees are exclusive of any applicable taxes unless stated otherwise. You are responsible for any taxes (other than those based on our net income).

We may offer free trials or promotional pricing. Terms specific to each offer (length, eligibility, automatic conversion to paid) will be disclosed when you accept the offer. Unless cancelled before the trial ends, your subscription will auto-convert to paid at the standard price.

6. License & Intellectual Property

Games you create: Games and other interactive experiences you make through the Service (“Games”) are produced by our AI systems and infrastructure working together with your input. As between you and us, Um Family Labs, LLC owns all right, title, and interest in and to the Games — including their code, assets, characters, levels, and the underlying models and improvements they generate. This shared-creation model is what lets us host your Games, keep making them better, combine ideas across the platform, and showcase standout creations for every family who builds here. You keep the right to play, share, and publish the Games you create using the sharing controls we provide, and we’re always glad to credit you.
Your inputs: for the prompts, descriptions, reference choices, free-text intent, and other materials you contribute (“Your Inputs”), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display Your Inputs — in whole, in part, or as derivatives — in any media, to operate, improve, and develop the Service and our systems (including analytics and model training) and to promote the platform.
Our Service: the Service itself — including the software, designs, trademarks, and documentation — is the intellectual property of Um Family Labs, LLC or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
Feedback: if you send us suggestions or feedback, you grant us a perpetual, royalty-free license to use that feedback to improve the Service.

7. AI-Generated Content

If the Service generates content using AI (“AI Output”):

AI Output is provided “as is” and may be inaccurate. You are responsible for reviewing AI Output before relying on it.
AI Output that forms part of a Game is owned by Um Family Labs, LLC as described in Section 6 (“Games you create”). For other AI Output the Service generates for you, you may use it subject to these Terms.
AI Output may resemble other content. We do not guarantee uniqueness.

8. Privacy

Our Privacy Policy explains how we collect and use personal data. By using the Service, you agree to the Privacy Policy.

9. Termination

By you: you may close your account at any time via account settings (https://app.du-game-maker.umfamily.org/account/danger-zone).
By us: we may suspend or terminate your access if you breach these Terms or the AUP, or if your account presents a security or legal risk. Where reasonably possible we will give notice and a chance to cure.
Effect of termination: paid features cease immediately. We will delete your account data per our Privacy Policy unless we are required by law to retain it. You may export your data before closing your account.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH DISCLAIMERS ARE INVALID UNDER APPLICABLE LAW.

We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that the Service is free of viruses or other harmful components.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

IN NO EVENT WILL Um Family Labs, LLC OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Um Family Labs, LLC from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your violation of any law, or your infringement of any third party’s rights.

13. Changes to the Service

We may add, modify, or discontinue features at any time. If we make a material change that adversely affects your subscription, we will provide at least 30 days’ notice and, if you do not accept the change, you may cancel and receive a prorated refund of any prepaid fees for the affected period.

14. Changes to These Terms

We may update these Terms. Material changes will be announced at https://du-game-maker.umfamily.org/changelog and by email to your account address. The “Last updated” date at the top reflects the most recent change. Continued use of the Service after a material change indicates your agreement to the updated Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of State of Delaware, United States, without regard to its conflict-of-laws principles. Any disputes arising under or related to these Terms or the Service will be resolved exclusively in the courts of State of Delaware, United States, except where applicable law requires otherwise.

If you are a consumer in the European Union, the United Kingdom, or another jurisdiction whose mandatory consumer-protection laws conflict with this section, those mandatory laws apply.

16. Miscellaneous

Entire agreement: these Terms (including the documents they incorporate) are the entire agreement between you and us regarding the Service.
Severability: if any provision is found unenforceable, the rest remain in effect.
No waiver: our failure to enforce any right is not a waiver of that right.
Assignment: you may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
